Welcome to MyMenu.AI (“MyMenu.AI,”“we,”“our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our website, applications, and services (collectively, the “Platform”), including our Quick Search and Enhanced Search features.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Overview of Services

MyMenu.AI provides an AI-enabled platform designed to support restaurant operators, foodservice providers, and related businesses with menu pricing insights, analytics, and benchmarking.

The Platform includes, but is not limited to:

Quick Search: A fast-access feature that allows users to search and view limited menu and pricing data.
Enhanced Search: A more advanced, subscription-based feature providing deeper analytics, comparisons, insights, and decision-support tools.

2. Eligibility

You must be at least 18 years old and capable of entering into legally binding agreements to use this Platform for commercial use. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization.

3. Account Registration

Certain features, including Enhanced Search, require account registration.

You agree to:

Provide accurate and complete information
Maintain the confidentiality of your login credentials
Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts for violations of these Terms.

4. Use of Quick Search

The Quick Search feature is intended for general informational purposes only.

You may:

Access publicly available menu and pricing data
Use the results for personal or internal business reference

You may NOT:

Scrape, extract, or systematically download data
Use results for competitive replication or resale
Rely on the data as definitive or guaranteed accurate

We do not warrant the completeness or accuracy of Quick Search results.

5. Use of Enhanced Search

The Enhanced Search feature provides advanced analytics, AI-driven insights, and pricing recommendations.

Access & Licensing:

Available only to registered users under a valid subscription or agreement
Subject to usage limits, pricing, and licensing terms as agreed separately

Permitted Use:

Internal business decision-making
Pricing analysis and strategy development

Restrictions:

Share, resell, sublicense, or distribute outputs externally without permission
Reverse engineer or attempt to replicate underlying models or algorithms
Use outputs to build competing products or services

6. Data Sources and Disclaimer

MyMenu.AI aggregates and processes data from various third-party and publicly available sources.

Data may include menu items, descriptions, and pricing
Data is subject to change and may contain inaccuracies
MyMenu.AI does not guarantee real-time accuracy or completeness

All outputs are advisory in nature, and users are responsible for their own business decisions.

7. Intellectual Property

All rights, title, and interest in the Platform—including software, algorithms, data models, and content—are owned by MyMenu.AI or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.

You may NOT:

Copy, modify, or create derivative works
Reverse engineer or decompile any part of the Platform
Use the Platform to develop competing solutions

8. Confidentiality (Enhanced Features)

For users of Enhanced Search and enterprise features:

Certain outputs, analytics, and methodologies may be considered confidential
You agree not to disclose or share such information without prior written consent

9. Acceptable Use

You agree NOT to:

Use the Platform for unlawful purposes
Interfere with system security or performance
Attempt unauthorized access to data or systems
Upload malicious code or conduct harmful activities

10. Payments and Subscriptions

For paid features (including Enhanced Search):

Fees will be defined in a separate agreement or pricing plan
Subscriptions may auto-renew unless canceled
All payments are non-refundable unless otherwise specified

11. Termination

We reserve the right to:

Suspend or terminate access at any time for violations of these Terms
Modify or discontinue features without prior notice

Upon termination, your right to use the Platform ceases immediately.

12. Limitation of Liability

To the fullest extent permitted by law:

MyMenu.AI shall not be liable for any indirect, incidental, or consequential damages
We are not responsible for business decisions made based on Platform outputs
Total liability shall not exceed the fees paid (if any) in the preceding 12 months

13. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

We disclaim all warranties, including:

Accuracy of data
Fitness for a particular purpose
Continuous or error-free operation

14. Privacy

Your use of the Platform is also governed by our Privacy Policy. We do not process sensitive personal data as part of core platform functionality.

15. Modifications to Terms

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any legal action or proceeding shall be brought exclusively in:

The state or federal courts located within the State of Delaware
The Court of Chancery of the State of Delaware, where applicable

17. Corporate Status; No Fiduciary Duties

Customer acknowledges that:

MyMenu.AI, Inc. is a Delaware corporation
The relationship between the parties is strictly commercial and contractual

Nothing in these Terms shall be deemed to:

Create any fiduciary duty, partnership, joint venture, or agency relationship
Impose any obligations beyond those expressly stated

18. Limitation of Liability (Expanded)

To the fullest extent permitted under Delaware law:

MyMenu.AI shall not be liable for lost profits, business opportunity, or data
Includes indirect, incidental, special, or consequential damages

Aggregate liability shall not exceed fees paid in the previous 12 months.

19. Indemnification

Customer shall indemnify and hold harmless MyMenu.AI from claims arising out of:

Misuse of the Platform
Violation of these Terms
Use of outputs externally
Violation of laws or third-party rights

20. Waiver of Jury Trial

Both parties waive any right to a trial by jury in legal proceedings related to these Terms.

21. Equitable Relief

MyMenu.AI may seek injunctive or equitable relief without posting bond in cases of unauthorized use.

22. Force Majeure

Neither party is liable for delays due to events beyond control, including:

Cloud outages
Cyber incidents
Acts of God
Government actions

23. No Use for AI Training or Competitive Use

You may NOT:

Use data to train AI/ML models
Extract datasets for competing tools
Use bots/scripts to collect data
Reverse engineer capabilities

24. Pricing Recommendation Disclaimer

All pricing outputs are advisory only and do not guarantee business outcomes.

You assume full responsibility for decisions made using Platform outputs.

25. Enterprise Licensing and Usage Restrictions

Enterprise use is governed by additional agreements (MSA, SoW, etc.).

You may NOT:

Share access across unauthorized users
Use outputs across entities without licensing
Embed outputs into third-party systems
Commercialize outputs externally

26. API and Integration Terms

Access & Security:

Maintain API key confidentiality
Implement proper security controls

Restrictions:

Do not exceed rate limits
Do not replicate APIs
Do not build competing services

Availability: API may be modified or discontinued with notice.
